1. Agreement to Terms

These Terms & Conditions constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Kindred Systems ("we", "us", or "our"), concerning your access to and use of the kindredsystems.ai website and related infrastructure services.

By accessing our platform, you agree to be bound by all of these Terms. If you do not agree, you are expressly prohibited from using the site.

2. B2B Infrastructure Services

Kindred Systems provides enterprise-grade AI execution frameworks, multi-agent coordination (QuorumOS), and identity certification. Unless expressly agreed otherwise in a separate Master Services Agreement (MSA), all services described on this site are intended strictly for commercial, business-to-business (B2B) application and are not offered for personal, family, or household use.

3. Intellectual Property Rights

Unless otherwise indicated, the website, its underlying architecture, the Adaptive Layer frameworks, QuorumOS source code, and all trademarks, service marks, and logos ("Marks") are our proprietary property. They are protected by copyright and trademark laws in the United Kingdom, the United States, and international jurisdictions.

4. Disclaimer & Limitations of Liability

While we build deterministic runtime environments to govern AI, the site and initial prototypes are provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, including implied warranties of merchantability or fitness for a particular purpose.

In no event shall Kindred Systems be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the site or our experimental edge deployments.

5. Governing Law and Jurisdiction

Recognizing our global client base across the UK, EU, and the United States, any disputes arising under these terms shall be governed by:

• For UK/EU/Global Clients: The laws of England and Wales, with exclusive jurisdiction resting in the courts of London, England.
• For US Clients: The laws of the State of Delaware, USA, without regard to its conflict of law principles. Any legal action or proceeding related to US-based entities shall be brought exclusively in the state or federal courts located in Delaware.

6. Dispute Resolution

Before initiating any formal legal proceedings, parties agree to attempt to resolve any dispute informally via good-faith negotiation for at least thirty (30) days.
